1. About us

Fable & Form is a trading name of Fable & Form, a company registered in England and Wales.

2. These Terms

These Terms apply to the services we provide to you. By instructing us or accepting a proposal, you agree to be bound by them. Any specific terms set out in our proposal or statement of work will take precedence over these Terms for that engagement.

3. Our services

We will provide our services with reasonable skill and care, in line with what has been agreed with you. Any timeframes we give are estimates unless we expressly agree otherwise.

4. Your responsibilities

You agree to provide us with the information, materials, and cooperation we reasonably need to deliver our services. We are not responsible for delays or issues caused by a failure to do so.

5. Fees and payment

Our fees will be as set out in the relevant proposal and are exclusive of VAT. Invoices are payable within [14] days of the invoice date. We may charge interest on late payments in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

6. Intellectual property

Subject to payment of all fees due, you will own the intellectual property in the final deliverables we create specifically for you. We retain ownership of any pre-existing materials, tools, and know-how used to provide the services.

7. Confidentiality

Each party agrees to keep the other’s confidential information confidential and to use it only for the purposes of the engagement.

8. Liability

Nothing in these Terms limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law. Subject to that, our total liability arising out of or in connection with our services shall not exceed the fees paid by you in the [twelve] months preceding the claim. We are not liable for any indirect or consequential loss, or for loss of profits, revenue, data, or goodwill.

9. Termination

Either party may terminate the engagement by giving [30] days’ written notice, or immediately if the other party commits a material breach that is not remedied within [14] days, or becomes insolvent.

10. Governing law

These Terms are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the courts of England and Wales.
